SOCHI / LEGAL
Terms of Service
The complete SOCHI policy, reproduced from our canonical legal document.
1. Agreement to these Terms
These Terms of Service ("Terms") form an agreement between you and Danify Tech ("Danify Tech", "we", "us", or "our") governing your access to and use of SOCHI, including its Windows application, Android application, website, application programming interfaces, support services, and related features (collectively, the "Service").
By creating an account, selecting an acceptance checkbox, accessing, or using the Service, you confirm that you have read and agree to these Terms. The SOCHI Privacy Policy explains how we process personal data. If you do not agree to these Terms, do not use SOCHI.
2. Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction and legally capable of entering this agreement. If you use SOCHI for an organization, you represent that you are authorized to bind that organization, and "you" includes the organization.
You may not use SOCHI if applicable law prohibits you from receiving the Service or if we previously terminated your account for serious or repeated violations unless we give written permission.
3. What SOCHI provides
SOCHI provides protected file storage, device synchronization, recovery, and controlled sharing, with supported viewing, editing, messaging, and calling features. It uses storage on your device and on infrastructure operated for Danify Tech. Some files and features require an internet connection; offline access depends on what is available on your device.
SOCHI does not promise a fixed compression ratio. Local package size varies because of file length, metadata, encryption, packaging overhead, and product changes. SOCHI is not a substitute for all independent backups, disaster-recovery plans, or legally required recordkeeping.
Features may include:
- Resumable upload and download.
- Protected local packages and encrypted caches.
- Account synchronization across authorized devices.
- File reconstruction, opening, and export.
- Sharing, acceptance, decline, expiry, revocation, blocking, and reporting.
- Device and session management.
- Storage quotas, transfer controls, notifications, and administrative safety tools.
- Selected-folder uploads through SOCHI Manager, supported previews and media playback, and integrated document, spreadsheet, presentation, vector, and PDF tools on supported platforms.
- Friends, private messaging, and voice/video calls where available, with user-configurable conversation privacy controls.
Some features may be experimental, unavailable on a device, limited by file type, or changed before general release.
4. Accounts and security
You agree to:
- Provide accurate account information.
- Maintain access to your verified email address.
- Use a strong, unique password.
- Protect login codes, sessions, devices, and recovery channels.
- Promptly revoke lost devices and report suspected unauthorized access.
- Keep account and contact information current.
- Accept responsibility for activity performed through your account unless you promptly report unauthorized use.
You must not sell, rent, transfer, or share an account in a way that compromises security. We may require email verification, two-factor authentication, password reset, session revocation, or additional checks to protect the Service.
Security features depend on the platform, installation, settings, and available hardware. They reduce risk but do not guarantee protection against malware, credential theft, unauthorized recording, or a compromised device. While offline, a device cannot immediately receive account or access changes made elsewhere. Ordinary authentication and file-availability requirements still apply.
5. Your files and ownership
As between you and Danify Tech, you retain your rights in files and other content you upload, import, synchronize, reconstruct, export, or share ("User Content").
You grant Danify Tech and its contracted providers a limited, worldwide, non-exclusive licence to receive, process, protect, store, transmit, back up, display to authorized users, and delete User Content only as reasonably necessary to:
- Operate and secure SOCHI.
- Follow your instructions.
- Maintain integrity, synchronization, sharing, and recovery.
- Investigate abuse or security incidents.
- Comply with law and enforce these Terms.
This licence ends when the relevant content and legally retained copies are deleted, except where another user's valid reference, an accepted share, a backup lifecycle, legal obligation, or legal claim requires continued retention.
You represent that you own or have all rights and permissions needed for your User Content and its use through SOCHI.
6. Stored copies and deletion
SOCHI may optimize storage for identical content. Each user's library, permissions, and deletion rights remain separate.
Deleting a file from your library does not remove copies legitimately retained by recipients or other users. Backups and legally required records may remain for the periods described in the Privacy Policy. A recipient who accepts a share may retain the accepted file after the sender removes it from their own library, subject to these Terms.
Sharing responses may withhold another user's private library or blocking information.
7. Sharing
You are responsible for selecting the intended recipient, permissions, and expiry. You must not share unlawful, abusive, deceptive, confidential, or rights-infringing material without authorization.
Recipients can see the sender's username and may accept, decline, block, or report a share. A sender may revoke a share while it remains pending. A sender generally cannot revoke a recipient's separate reference after acceptance.
We may prevent duplicate pending shares, restrict sharing, delay delivery, or use generic sender-facing messages to protect recipient privacy and service security.
8. Acceptable use
You must not use SOCHI to:
- Violate any law, regulation, court order, contract, privacy right, intellectual-property right, or other person's rights.
- Upload, possess, transmit, or distribute malware, ransomware, stolen credentials, malicious code, exploit kits, or instructions primarily intended to compromise systems.
- Store or share child sexual abuse material, non-consensual intimate material, credible threats, terrorist content prohibited by law, or content that facilitates serious harm.
- Harass, stalk, impersonate, defraud, deceive, extort, or exploit another person.
- Circumvent account, sharing, quota, rate-limit, payment, encryption, access, or safety controls.
- Probe, scan, reverse engineer, overload, benchmark abusively, disrupt, or attack SOCHI without prior written authorization.
- Use automated systems that materially impair availability or evade published interfaces.
- Resell or commercially exploit the Service unless a plan or written agreement permits it.
- Misrepresent SOCHI as the sole backup for content where loss would cause serious harm.
Legitimate security research requires written authorization and compliance with any published security policy.
9. Reports, enforcement, and appeals
We may investigate reports and technical signals. Where reasonably necessary, we may reject uploads, restrict sharing, preserve evidence, revoke sessions, remove or quarantine content, disable features, suspend accounts, or terminate access.
We may act without advance notice when necessary to address urgent security threats, unlawful content, fraud, repeated abuse, infrastructure risk, or legal obligations. Where appropriate, we will provide a reason and a way to contact support. You may appeal an enforcement decision at support@danifygroup.com.
Blocking prevents new shares from the blocked user. Reporting may also block that user and create an abuse record for review.
10. Storage limits, transfer limits, and fees
SOCHI may apply file-size limits, storage quotas, bandwidth limits, rate limits, device limits, share limits, or fair-use restrictions. Current limits may be shown in the application or service configuration and may change.
Testing or promotional access does not guarantee permanent free service. If we introduce paid plans, we will disclose applicable prices, billing periods, taxes, renewal terms, cancellation rules, and material limits before charging you.
Failure to pay an applicable fee may result in restricted uploads, reduced functionality, suspension, or deletion after legally required notice and a reasonable opportunity to retrieve eligible content.
11. Availability, performance, and backups
We aim to provide a reliable Service but do not guarantee uninterrupted, instantaneous, or error-free operation. Availability and speed depend on your device, internet provider, file type, geographic location, cloud infrastructure, operating system, media codecs, third-party services, maintenance, and events outside our control.
Progressive opening may begin before reconstruction finishes and may pause or stutter on slow or unstable connections. Thumbnails and previews may be unavailable for unsupported or online-only files.
You should keep independent copies of important files. SOCHI backups and object versions support service recovery but are not a personalized archival guarantee and may expire under configured lifecycle policies.
12. Software licence and intellectual property
SOCHI, its software, interfaces, branding, documentation, and service technology are owned by Danify Tech or its licensors and are protected by applicable intellectual-property laws.
Subject to these Terms, Danify Tech grants you a limited, revocable, non-exclusive, non-transferable licence to install and use the client software for your personal or authorized organizational use of the Service.
You must not copy, modify, distribute, sell, lease, sublicense, extract source code from, or create derivative works from proprietary portions of SOCHI except where applicable law expressly permits and cannot be waived.
Third-party open-source components, including the integrated editors, remain governed by their respective licences and notices. Nothing in these Terms restricts rights those licences grant you. SOCHI's proprietary-service restrictions do not replace or override applicable open-source licences.
"SOCHI", Danify Tech branding, logos, and related marks may not be used without written permission.
13. Third-party services and exported files
SOCHI relies on third-party infrastructure and software. Those providers may have separate terms and privacy policies. We are not responsible for independent third-party products outside our control.
When you export or open a file, another application or operating-system location may receive a plaintext copy. That copy is no longer controlled by SOCHI's protected storage. You are responsible for selecting trusted destinations and recipients.
Integrated editor saving and conversion commands store their outputs in your SOCHI library where supported. AutoSave is not continuous and can fail when authorization, storage, or connectivity is unavailable. Confirm that changes were saved before closing or relying on a file. Format conversion may change layout or omit unsupported features; retain important originals and check exported results. For unchanged content, Save As may rename the existing library item rather than create a separate copy.
Printing, recipient copies, and explicit external exports cannot be recalled reliably. Message-expiry preferences do not guarantee removal of recipients' copies or recordings. Do not use SOCHI calling as a substitute for emergency telephone services. You are responsible for obtaining any consent required to record or distribute another person's communications.
When you enable SOCHI Manager or automatic folder uploads, ensure that you have permission to upload all eligible content in the folders you select, including subsequently added files. You can change or disable available automation controls; doing so does not automatically delete files already uploaded.
14. Account deletion and termination
You may stop using SOCHI and request account deletion through available settings. Account deletion removes the active account and its references, subject to shared references, accepted shares, backups, object versions, security records, legal obligations, and the Privacy Policy.
We may suspend or terminate the Service or your account for:
- Breach of these Terms.
- Security or infrastructure risk.
- Unlawful or abusive conduct.
- Non-payment when paid plans apply.
- A legal requirement.
- Prolonged inactivity under a separately disclosed retention policy.
- Discontinuation or material restructuring of the Service.
Where practical and lawful, we will provide notice and an opportunity to export eligible content. Sections concerning ownership, licence history, enforcement, disclaimers, liability, disputes, and legal compliance survive termination where logically necessary.
15. Service changes
We may add, modify, suspend, or discontinue features, platforms, storage methods, quotas, or compatibility. We will provide reasonable notice when a change materially reduces core paid functionality or requires action to preserve access, unless urgent security, legal, or technical circumstances make advance notice impracticable.
16. Disclaimers
To the maximum extent permitted by law, SOCHI is provided "as is" and "as available". Danify Tech disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.
We do not warrant that:
- Every file type or codec will preview, progressively open, or reconstruct at a particular speed.
- Storage reduction will reach a specific percentage.
- Deduplication will always occur.
- The Service will satisfy every regulatory, archival, professional, or business-continuity requirement.
- Files will never be corrupted, deleted, intercepted, or unavailable.
Nothing in these Terms excludes a warranty or consumer right that applicable law does not permit us to exclude.
17. Limitation of liability
To the maximum extent permitted by law, Danify Tech and its officers, employees, contractors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, opportunity, or data arising from the Service.
Where liability cannot be excluded, Danify Tech's aggregate liability relating to the Service will not exceed the amount you paid Danify Tech for SOCHI during the 12 months before the event giving rise to the claim, except where applicable law requires a different remedy or minimum liability.
These limitations do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or other liability that cannot lawfully be limited.
18. Indemnity
To the extent permitted by law, you agree to defend and indemnify Danify Tech against third-party claims, losses, and reasonable costs arising from your unlawful User Content, material breach of these Terms, or infringement of another person's rights. This obligation does not apply to the extent a claim was caused by Danify Tech's own unlawful conduct.
19. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without overriding mandatory consumer or data-protection rights that apply in your place of residence.
Before starting formal proceedings, you and Danify Tech agree to attempt in good faith to resolve a dispute by written notice and 30 days of discussion. Send notices to legal@danifygroup.com.
If a dispute is not resolved, it may be brought before a court of competent jurisdiction in Nigeria, unless applicable consumer law gives you the right to bring proceedings elsewhere.
20. Changes to these Terms
We may update these Terms as the Service, law, or business changes. We will update the date above and provide notice through SOCHI, our website, or account email when changes are material.
Changes apply from the stated effective date. If you do not accept a material change, you must stop using the Service and may delete your account. Continued use after the effective date constitutes acceptance where permitted by law.
21. General provisions
If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; Danify Tech may assign it as part of a reorganization, financing, merger, acquisition, or sale. These Terms and incorporated policies are the entire agreement concerning the Service unless a separate written agreement applies.
